Sale of Three Subsidiaries Finalized

GR Infraprojects Ltd announced March 25, 2026, a definitive agreement to sell its entire stake in three subsidiaries to Indus Infra Trust. The companies included are GR Bilaspur Urga Highway Private Limited (GBUHPL), GR Ujjain Badnawar Highway Private Limited (GUBHPL), and GR Ena Kim Expressway Private Limited (GEKEPL). The total deal value is ₹273.22 crore.

Financial Impact of Subsidiaries

These subsidiaries were significant to GR Infraprojects' financials for the fiscal year ending March 31, 2025. GR Bilaspur Urga Highway (GBUHPL) contributed ₹60,616.12 lakh to income (8.20%) and ₹10,242.46 lakh to net worth (1.21%). GR Ujjain Badnawar Highway (GUBHPL) added ₹31,813.35 lakh to income (4.30%) and ₹2,111.37 lakh to net worth (0.25%). GR Ena Kim Expressway (GEKEPL), a material subsidiary, posted ₹75,384 lakh in income (10.19%) and ₹8,255.86 lakh in net worth (0.97%). Together, these units made up about 22.7% of the company's total income.

Deal Value and Approval

The sale includes ₹102.93 crore for GBUHPL, ₹16.51 crore for GUBHPL, and ₹153.78 crore for GEKEPL. GR Infraprojects received shareholder approval for the sale via postal ballot on March 20, 2026. The deal is expected to close once all conditions in the share purchase agreement are met.

Despite its strong infrastructure and manufacturing, the company's stock has faced pressure.
