Adani Group Seeks Kerala Approval for $1.4B Vizhinjam Port Stake Sale

Adani Group has requested Kerala government approval to transfer a 49% stake in the Vizhinjam International Port to Switzerland-based Mediterranean Shipping Company. This $1.4 billion proposal is currently under review by a state-appointed committee to ensure compliance with the original concession agreement. The project, which began commercial operations in December 2024, is now navigating the next phases of its multi-year expansion plan.

Adani Vizhinjam Port Private Limited has formally applied for approval from the Kerala government to transfer a 49% stake in the Vizhinjam International Port. The proposed transaction, valued at approximately $1.4 billion, involves bringing in Switzerland-based Mediterranean Shipping Company as a partner in the project. The move is significant given the scale and strategic importance of the port, which serves as a major transshipment hub.

Regulatory Review and Compliance

The concession agreement governing the Vizhinjam project requires state oversight for any changes in ownership structure. Consequently, the Kerala government has tasked a committee led by the Chief Secretary to review the proposal. This process involves verifying that the transfer of shares remains compliant with all contractual obligations. The state administration is focused on ensuring that the entry of a new partner does not negatively impact the project's long-term viability or the agreed-upon development timelines.

Impact of Strategic Partnership

Mediterranean Shipping Company, recognized as one of the world’s largest shipping and logistics operators, brings significant operational experience to the venture. For the Adani Group, this partnership is a strategic move to enhance the port’s operational efficiency and logistics connectivity. The involvement of a major global shipping player could influence traffic volumes and cargo handling capabilities, which are essential for the port's success as a transshipment center.

Expansion Progress and Deadlines

The project operates on a structured timeline, with commercial operations having commenced in December 2024. The concessionaire is committed to completing subsequent development phases—II, III, and IV—by December 31, 2028. As of August 2026, the company reported approximately 12.4% physical completion of these expansion works, which include breakwater extensions and container berth construction. The committee’s review will evaluate whether the stake sale and the associated change in ownership structure affect the ability of the developer to meet these upcoming milestones. Investors tracking this development may look toward the committee’s final findings and any updates from the company regarding the pace of project execution.
