Natco Pharma Rights Issue: Rs 1,279 Crore Offer Details

Natco Pharma will open a Rs 1,279 crore rights issue on October 12, 2026, offering shares to existing investors at Rs 750 each. Shareholders on record as of October 1, 2026, are eligible to apply for 2 shares for every 21 held. The company plans to use these funds for growth and expansion initiatives.

Natco Pharma has announced plans to raise Rs 1,279.35 crore through a rights issue. A rights issue allows existing shareholders to buy additional shares directly from the company, often at a price lower than the current market rate, to help the company raise money for expansion or debt reduction without taking a new bank loan.

The company is offering roughly 17.06 million new shares at a price of Rs 750 per share. To be eligible to participate, you must own Natco Pharma shares in your demat account by October 1, 2026. The entitlement ratio is set at 2 shares for every 21 shares held. This means if you hold 21 shares on the record date, you will be eligible to buy 2 new shares in this offer.

The rights issue is scheduled to open for subscription on October 12, 2026, and will close on October 22, 2026. Investors who receive these rights but choose not to subscribe can sell their entitlement in the stock market between October 12 and October 16, 2026.

Natco Pharma, known for its focus on complex generic medicines and oncology products, intends to use this capital for business expansion. While the injection of fresh capital can help fund new research, capacity growth, or capital spending projects, shareholders should consider the impact of an increased total share count. If the company expands its share base from 179.11 million to approximately 196.17 million, the earnings per share could be diluted, meaning each existing share might represent a slightly smaller portion of future profits.

Investors should be aware of the inherent risks in the pharmaceutical sector. Natco Pharma’s business model frequently involves challenging patents to bring generic drugs to market earlier. While this strategy has historically driven growth, it carries risks, including intense competition, potential litigation from patent holders, and regulatory scrutiny from agencies like the USFDA. Future performance will depend on the company's ability to execute its expansion plans efficiently and navigate these complex regulatory environments.

Alongside this capital raise, the company has updated its internal code of conduct for tracking and reporting share trades by designated persons. This move is designed to improve governance standards and transparency within the firm. The next steps for investors will be to assess the company's detailed plan for these funds and monitor whether the projected expansion leads to improved operational efficiency and profitability in the coming quarters.
