Kilitch Drugs is selling its Ethiopian subsidiary, Kilitch Estro Biotech, to HarmeeCare Pharmaceuticals for $14 million. The company plans to use the proceeds to reduce debt and fund the expansion of its manufacturing facility in Pen, Maharashtra. Investors may watch how this shift toward specialized injectable products impacts future margins as the deal moves toward its January 2027 completion date.
Kilitch Drugs (India) Ltd has announced an agreement to sell its entire stake in its Ethiopian subsidiary, Kilitch Estro Biotech PLC, to HarmeeCare Pharmaceuticals. The transaction is valued at $14 million. This deal marks a significant strategic pivot for the company as it moves to reallocate resources from international manufacturing operations back to its domestic business.
The capital infusion is expected to serve two primary financial goals. First, the company aims to use the funds to reduce its existing debt, which helps lower interest costs. Second, the remaining proceeds will be directed toward finishing the construction of its new manufacturing plant in Pen, Maharashtra. By focusing on this facility, Kilitch Drugs intends to scale up its production capabilities, specifically targeting high-growth areas such as liquid injectable vials, lyophilised injectables, and ophthalmic solutions.
A key focus for the company is entering the GLP-1 drug development market. GLP-1 therapies have gained significant global attention, and with several patents for these molecules set to expire, pharmaceutical companies are increasingly looking to develop generic versions. Kilitch Drugs plans to utilize its aseptic manufacturing expertise to supply these high-demand segments. However, the injectable pharmaceutical space is highly competitive and requires strict adherence to global quality standards. The company is currently working toward securing European Union Good Manufacturing Practice and Pharmaceutical Inspection Co-operation Scheme accreditations, which are critical for increasing its export potential.
While the company is offloading its manufacturing arm in Ethiopia, it is not completely exiting the region. To maintain a revenue stream, Kilitch Drugs has entered into a long-term supply and technical services agreement with the buyer, HarmeeCare Pharmaceuticals. This ensures that the Indian firm will continue to have a commercial presence in Ethiopia even after the sale of the facility.
For investors, the success of this move depends on the effective execution of the Pen facility expansion and the ability to navigate the complex regulatory environment for specialized injectables. The company needs to successfully complete the deal by January 31, 2027, which remains subject to shareholder approval and final regulatory clearances. The market will likely watch for updates on the debt reduction progress and the speed at which the Pen facility begins commercial production.
