Senco Gold to Acquire 68% Stake in Melorra for Rs 68 Crore

Senco Gold Limited will acquire a 68% stake in August Jewellery, the owner of digital-first brand Melorra, for Rs 68 crore. The deal, to be completed by February 2027, aims to help the traditional retailer reach younger, online-focused customers. An additional investment by the promoter group will eventually raise the stake to 79%.

Senco Gold Limited has announced a Rs 68 crore deal to acquire a 68% stake in August Jewellery Private Limited, the parent company of the digital-first jewelry brand Melorra. This investment marks a strategic move for the traditional jeweler as it attempts to tap into the younger, online-focused market segment.

The transaction is structured as a phased funding arrangement through fresh equity issuance. The capital provided will be used to scale Melorra’s operations and settle its existing liabilities. Senco Gold expects to complete the full integration of this acquisition by February 2027. Following this initial stage, an entity belonging to the promoter group intends to make a further investment to increase the combined stake to 79%, which would officially make August Jewellery a subsidiary of Senco Gold.

For investors, the primary element of this development is Senco Gold's attempt to bridge its traditional brick-and-mortar retail presence with a digital-first model. Traditional jewelry retailers typically operate with different inventory, logistics, and customer service requirements compared to digital-native brands. The success of this move will likely depend on how effectively Senco Gold can merge these two distinct operational structures without negatively impacting its existing profit margins or taking on excessive financial burden.

The decision to clear Melorra’s existing liabilities indicates that the target company has been operating under financial pressure, a common challenge in the high-burn e-commerce startup sector. While this acquisition provides Senco Gold with an established online platform and immediate access to a digital-native customer base, the company will face the challenge of managing the costs of integration alongside its core retail business. Market participants will likely track the progress of this integration, specifically focusing on how Melorra’s digital sales contribute to Senco Gold’s overall revenue and whether the company can successfully lower customer acquisition costs as it scales this new vertical.
