Hindustan Coca-Cola Plans 2027 IPO, Taps JPMorgan and Citi

Hindustan Coca-Cola Beverages has appointed lead bankers including JPMorgan and Citigroup for a planned initial public offering in 2027. The move follows the company’s recent strategy to reduce its direct stake in bottling operations. This listing trend reflects how multinational firms are leveraging higher Indian market valuations to unlock value from their local units.

Hindustan Coca-Cola Beverages, the primary bottling arm for the global beverage major in India, is moving forward with plans to launch an initial public offering (IPO) by 2027. The company has hired global financial institutions JPMorgan and Citigroup to lead the share sale process. Additionally, Kotak Mahindra Bank and Morgan Stanley are reportedly involved to support the offering, which could serve as a significant exit or partial stake sale for the parent company.

Strategic Shift to Asset-Light Operations

This move toward a public listing follows a broader change in how Coca-Cola manages its Indian business. The company recently sold a 40% stake in its bottling unit to the Jubilant Bhartia Group in a deal valued at approximately ₹12,500 crore. By reducing its direct ownership, the global beverage giant is shifting toward an asset-light model. This strategy aims to shift the focus away from capital-intensive manufacturing and logistics, allowing the company to dedicate more resources to brand marketing, product development, and digital expansion.

Financial and Operational Context

The bottling unit remains a vital part of the company's Indian infrastructure, operating 14 production facilities spread across 10 states. In the 2023 financial year, the entity reported revenue of ₹127.35 billion and a net profit of $36 million. Its portfolio includes market-leading soft drink brands such as Thums Up, Sprite, and the flagship Coca-Cola. For investors, the company's ability to maintain these profit margins while transitioning to an asset-light structure will be a key area to watch as the IPO date approaches.

The Trend of Multinational Listings

The decision to list on Indian stock exchanges highlights a growing preference among large multinational corporations. Firms are increasingly seeking to unlock value from their mature Indian subsidiaries, often taking advantage of the high valuation premiums that Indian public markets currently command compared to global peers. This pattern has been observed in recent years as companies look to provide liquidity for their existing shareholders and increase their local market visibility.

As the company prepares for this transition, shareholders and market observers will monitor the progress of the IPO filings, the final structure of the share sale, and any updates regarding the company’s long-term agreements with its bottling partners. The successful execution of this IPO will depend on broader consumer demand trends in the Indian beverage sector and the company's ability to navigate the competitive landscape against other major soft drink producers.
