Devyani International Shares Fall 8% Post Q2 Results, Merger Approval

Devyani International narrowed its quarterly loss to ₹20-24 lakh, supported by a 10.4% revenue increase and strong performance in its homegrown brands. Although the CCI approved the merger with Sapphire Foods, the company’s share price dropped over 8% from the day’s high. Investors are balancing the potential for long-term consolidation against near-term competition and rising input costs.

Devyani International reported a significant improvement in its financial performance for the second quarter of the 2027 fiscal year, with its consolidated net loss narrowing to approximately ₹20-24 lakh. This is a substantial recovery compared to the net loss of nearly ₹21.89-22 crore recorded during the same period in the previous year. Despite the improved operational metrics, the company's share price saw downward pressure on Monday, declining by more than 8% from the day’s high.

The company’s operational growth was largely driven by a 10.4% year-on-year increase in consolidated revenue, which reached ₹1,519.4 crore. A key highlight for the quarter was the momentum in the company's homegrown brand portfolio. Brands such as Biryani By Kilo and Vaango generated ₹121.1 crore in revenue. More importantly, the brand contribution margins for these units improved to 9.4%, a sharp increase from the 0.6% margin reported a year earlier. This shift suggests that the company is successfully executing its strategy to reduce dependency on international franchises like KFC and Pizza Hut by expanding its internal footprint.

Adding to the corporate developments, the Competition Commission of India officially approved the merger of Sapphire Foods India into Devyani International on October 30, 2026. This merger is a major strategic move, as it will consolidate the operations of KFC and Pizza Hut under a single entity. While this integration is expected to create a larger, more unified platform for the company’s core quick-service restaurant business, it brings with it the inherent execution risks and integration challenges that typically follow such large-scale consolidation.

Investors are now weighing these structural changes against a challenging operating environment. The broader food services sector is currently facing pressure from intense competition, which is forcing companies to increase spending on promotions and discounts to attract customers. Furthermore, persistent food inflation and rising energy costs continue to impact profit margins across the industry. Although the company reported same-store sales growth in the 4% to 9% range, the stock market's reaction suggests that investors remain cautious about whether these operational gains can be sustained in the face of ongoing economic headwinds and competitive dynamics.

Moving forward, the primary monitorables for investors will be the timeline and efficiency of the Sapphire Foods merger integration. Additionally, the market will likely track whether the company can maintain the improved contribution margins of its domestic brands while navigating the volatile raw material cost environment and managing the sensitivity of consumer spending in urban markets.
