Pricol Shares Near Record Highs: What to Know About Demerger & Capex

After a 72% surge over the last year, Pricol is moving ahead with a ₹700 crore expansion plan and the demerger of its connected vehicle business. While the company is betting on future growth, investors should weigh this against margin pressures and current valuation levels.

Pricol Ltd. shares have seen significant movement recently, trading near record highs around ₹770 levels as of late August 2026. This performance marks a sharp turnaround for the automotive components maker, with the stock rallying approximately 72% over the past year. As the company enters a new phase of growth, it is focused on a dual strategy: a major capital spending plan and a structural separation of its core business.

Expansion and Growth Strategy

The company has embarked on a ₹700 crore capital expenditure cycle for the 2027 financial year. This money is being used to expand capacity across its instrument clusters, polymer, and connected solutions verticals. The timing is critical, as Pricol aims to capture rising demand from two-wheeler manufacturers. The financial scale is notable; in fiscal 2026, the company reported consolidated revenue of ₹4,052 crore. A significant portion of this—about 61%—comes from its Driver Information and Connected Vehicle Solutions (DICVS) unit, which is now the centerpiece of the company's restructuring.

The Demerger Plan

In a move to streamline its operations, Pricol’s board has approved the demerger of this DICVS unit into a new, separate entity named 'Pricol Autotech Limited'. Under the proposed plan, shareholders of the parent company will receive one share of the new entity for every share they currently hold. Management intends for this split to allow the new entity to focus exclusively on complex e-cockpit and connected vehicle technologies, potentially attracting specialized technology partners that might otherwise be harder to integrate into the parent firm’s broader structure.

Margin Pressures and Risks

While the growth narrative is clear, the company faces practical challenges. Profit margins have come under pressure due to several factors. Costs for raw materials like polymers and metals have been volatile, and the company has also dealt with elevated freight and semiconductor chip prices. These costs are often difficult to pass on to vehicle manufacturers immediately, leading to a lag in margin recovery. Investors may note that the company has struggled to see the full benefit of its efforts to stabilize margins, a process that continues to be affected by these input cost fluctuations.

Furthermore, the automotive industry remains cyclical. Any slowdown in passenger vehicle or two-wheeler demand can directly impact the company’s capacity utilization. Additionally, some market observers have pointed to the company’s valuation, with the price-to-earnings ratio recently ranging between 35x and 44x. This indicates that the market is pricing in significant future growth, and for risk-averse investors, this high valuation is a factor to consider alongside the potential operational volatility that can accompany a large demerger process.

Investor Monitorables

The most important updates for investors in the coming months will be the progress of the demerger timeline and the actual commissioning of the new manufacturing capacities. Shareholders should also track whether the company can successfully pass on cost increases to original equipment manufacturers to improve its profit margins. The success of the restructured entity, Pricol Autotech, will depend on its ability to maintain its market share in the evolving connected vehicle space.
