HEG Ltd has fixed September 7, 2026, as the record date for its composite scheme of arrangement. The company is demerging its graphite electrode business into a new entity and retaining advanced materials, battery, and green power operations. Investors will receive a 1:1 share entitlement as part of the restructuring process.

HEG Ltd has reached a significant milestone in its corporate restructuring plan, setting September 7, 2026, as the record date for its composite scheme of arrangement. This move marks the formal split of the company’s business operations, a process aimed at separating its core graphite electrode manufacturing from its newer initiatives in advanced materials and green energy.

Under the approved scheme, the graphite electrode business will be demerged into a separate, newly formed entity which will be named HEG Ltd. Shareholders of the existing company will receive shares in the new entity on a 1:1 basis. Meanwhile, the original entity will be renamed HEG Advanced Materials. This remaining company will hold the advanced materials, battery, and green power businesses. Additionally, the scheme includes the amalgamation of Bhilwara Energy into the restructured setup, consolidating the group’s power assets under the HEG Advanced Materials umbrella.

From a financial perspective, HEG enters this transition with a stable balance sheet. The company has maintained a strong position with no long-term debt and healthy cash reserves.
