Zaggle Prepaid Invests ₹7.97 Cr in Unobanc for Global Payments

Zaggle Prepaid Ocean Services is acquiring a nearly 20% stake in Unobanc for ₹7.97 crore. The deal aims to strengthen Zaggle’s cross-border payment, forex, and remittance services for corporate and retail clients. The transaction is expected to close within 90 days.

Detailed Coverage

Zaggle Prepaid Ocean Services has announced a strategic investment of up to ₹7.97 crore in Unobanc, a technology-focused firm specializing in international digital payments. By acquiring this stake, which will reach nearly 20% upon completion, Zaggle intends to expand its reach beyond domestic borders by integrating new capabilities in foreign exchange and global remittances.

Expanding Financial Service Capabilities

This capital investment, which the company plans to disburse in one or more tranches, is designed to enhance Zaggle's infrastructure for cross-border transactions. As a company primarily known for its corporate spend management and employee benefits solutions in India, this move marks a shift toward capturing a larger share of the international payments market. The investment is expected to be finalized within the next 90 days.

Inside Unobanc’s Financial Growth

Unobanc, founded in 2019, operates as a subsidiary of Hop Financial Solutions and provides the technology backbone for cross-border financial services. The company's financial performance has shown consistent improvement over the last three fiscal years. For the year ending March 2025, Unobanc reported a turnover of ₹17.40 crore, up from ₹15.63 crore in the previous year and ₹14.40 crore in 2022-23. The company’s operating profit, measured as EBITDA, also saw a significant jump to ₹1.37 crore in 2024-25, compared to just ₹0.05 crore in the prior year.

Regulatory and Transaction Context

Unobanc currently holds a Fully Fledged Money Changing license and is seeking an Authorised Dealer Category II license from the Reserve Bank of India. For investors, it is important to note that Zaggle has confirmed this deal is an arm's length transaction, meaning no promoters or related parties of Zaggle have an interest in Unobanc. Additionally, the company stated that the investment does not require specific regulatory or government approvals to proceed.

What Investors Should Watch Next

The key focus for shareholders will be the successful integration of Unobanc’s technology into Zaggle’s existing platform. Because the cross-border payment space is highly regulated and competitive, investors may want to track the progress of Unobanc’s application for the Authorised Dealer Category II license, as this will be critical to the operational success of the partnership. Furthermore, monitoring how this expansion impacts Zaggle's overall profit margins and cash flow in future quarters will provide insight into whether this strategy effectively scales its international revenue streams.
