Reliance Industries Plans ₹10,000 Crore Asset-Backed Bond Deal

Reliance Industries is preparing to raise ₹10,000 crore through asset-backed securities. The five-year notes, with an expected coupon of 8.35%-8.40%, are backed by rental receivables from entities like Reliance Jio Infocomm. This deal highlights the conglomerate's strategy to diversify funding for its ongoing large-scale infrastructure investments.

Reliance Industries is tapping the debt market again with a plan to raise ₹10,000 crore (100 billion rupees) through asset-backed securities. This transaction is structured to use rental receivables from group subsidiaries, including Reliance Jio Infocomm, as the underlying security for the debt. Barclays is acting as the primary arranger for this five-year issuance, with an expected coupon rate between 8.35% and 8.40%.

This move is part of the conglomerate’s broader strategy to manage its capital structure as it continues its massive expansion phase. By securitizing predictable rental cash flows from its infrastructure assets, the company aims to secure competitive financing terms. This specific type of bond—where the debt is directly linked to an asset’s income—often appeals to institutional investors looking for higher predictability compared to standard unsecured corporate bonds.

Strategic Funding and Capex Cycle

The company has been consistently active in the debt market, utilizing various instruments to fuel its investments in refining, retail, and telecommunications. This current issuance follows a significant ₹21,000 crore (210 billion rupees) securitized bond deal in September 2025. For investors, these frequent debt raises are a primary indicator of the heavy capital spending required for the company’s ongoing growth projects. While the group maintains a strong balance sheet, the constant need for fresh capital means that shareholders should monitor how much the rising interest costs impact the company's overall profit margins over the coming years.

The Growth of India's Securitization Market

The Indian securitization market has seen significant growth, reaching a record 1.53 trillion rupees in the fiscal year ending March 2026. Historically, this market was dominated by non-banking financial companies (NBFCs). However, the entry of large industrial conglomerates like Reliance is changing the nature of these instruments. By offering high-grade, asset-backed paper to the public market, the company is effectively utilizing its large infrastructure base to manage its debt-to-equity ratio while maintaining liquidity for its expansion agenda.

Investor Monitorables

While asset-backed securities are generally considered a stable way for companies to borrow, they still add to the total liability burden. Investors should track the final pricing of the deal and the company's ability to maintain its credit ratings as it continues to take on debt. Additionally, the success of this issuance will depend on prevailing interest rate conditions and the appetite of institutional buyers for long-term rental-backed assets. The ultimate impact on the stock will depend on whether this borrowing strategy succeeds in efficiently funding projects that generate higher returns than the cost of the debt being raised.
