Razorpay Files IPO Papers Seeking Up to $700 Million

Fintech giant Razorpay has confidentially filed draft IPO papers with SEBI, aiming to raise $500 million to $700 million. While the company recorded 65% revenue growth in FY25 to ₹3,783 crore, it also reported a loss of ₹1,209 crore, largely due to one-time restructuring costs. Investors will closely watch its path to profitability given the targeted valuation of $5 billion to $6 billion.

Razorpay has taken a definitive step toward the public markets, having confidentially submitted its draft IPO papers to the Securities and Exchange Board of India on June 12, 2026. The fintech major, known for its payment gateway and business finance solutions, is looking to raise between $500 million and $700 million. This move marks a significant transition for the Bengaluru-headquartered firm, which has appointed a consortium of lead managers, including Axis Capital, Kotak Mahindra Capital, JPMorgan, and Citi, to guide its public listing.

The company’s financials reflect a period of aggressive scaling and structural transformation. In FY25, Razorpay reported operating revenue of ₹3,783 crore, a robust 65% increase from ₹2,296 crore in the previous fiscal year. However, the bottom line shows a loss of ₹1,209 crore. According to company disclosures, this loss is primarily linked to one-time expenses, including the costs of shifting the company’s corporate domicile from the US to India in May 2025—a move often called a 'reverse-flip'—along with employee stock option expenses. This restructuring was aimed at aligning the company’s legal base more closely with its primary market.

From a valuation standpoint, the upcoming IPO marks a shift from the peak private market sentiments of the past. While the company reached a private valuation of $7.5 billion in 2021, the current IPO is expected to aim for a valuation in the range of $5 billion to $6 billion. This reset is a common trend among new-age tech companies navigating a more conservative public market environment where investors prioritize sustainable profitability over top-line growth alone.

Behind this current push for a public listing lies a decade of development. Co-founded by IIT Roorkee alumni Harshil Mathur and Shashank Kumar, the company initially struggled to gain traction, facing nearly 100 rejections from bankers during its early days. This hurdle forced the company to refine its technology and business model, eventually leading to its growth from a simple payment gateway provider into a comprehensive financial services platform. Demonstrating its focus on ongoing technical development, the company recently launched 'Vulcan' on August 18, 2026, an AI-based payment foundation model designed to improve transaction success rates and financial analysis capabilities.

For potential investors, the key monitorables will be the company’s ability to turn its rapid revenue growth into consistent profit. While the recent losses are attributed to restructuring, the market will eventually expect a clear timeline for reaching break-even and sustainable margins. Additionally, the fintech sector in India remains highly competitive, with established players and new entrants constantly vying for market share. As the IPO process moves forward, investors will await further details regarding the final issue size, the exact valuation, and the company's long-term strategy for maintaining its growth trajectory in an evolving regulatory environment.
