RPG Life Sciences is moving its API business into a new subsidiary, RPG Active Pharma, which has secured a ₹243 crore investment from InvAscent for a 40% stake. The new entity is also acquiring Actis Generics to expand its manufacturing footprint, marking a strategic shift to scale its chemical and ingredient operations.
RPG Life Sciences has initiated a major restructuring by spinning off its active pharmaceutical ingredients (API) segment into a standalone subsidiary, RPG Active Pharma Ltd (RPGAP). This move is designed to provide the API business with more independence and a dedicated management structure to pursue growth. As part of this transition, the company has brought in InvAscent, a private equity firm focused on healthcare, which will invest up to ₹243 crore for a 40% stake in the new unit.
Strategic Expansion and Acquisition
The creation of this new entity involves more than just a restructuring of existing assets. RPG Active Pharma has entered an agreement to acquire Actis Generics, a pharmaceutical manufacturer based in Visakhapatnam, in an all-cash deal valued at ₹80 crore. Actis Generics brings established manufacturing capabilities to the table, having reported revenue of ₹48.2 crore for the financial year ending March 2025. By combining these operations, RPG Life Sciences aims to build a larger, more specialized platform that can compete more effectively in the global supply chain, where India is increasingly viewed as a manufacturing hub for pharmaceutical ingredients.
Financial Context and Capital Allocation
For RPG Life Sciences, the API business previously contributed ₹95.06 crore to its consolidated revenue in the fiscal year ending March 2026, accounting for roughly 13.5% of total sales. The introduction of InvAscent is expected to inject necessary capital to support this growth. Both RPG Life Sciences and InvAscent have indicated that total investments into RPGAP could reach up to ₹700 crore over time. This funding is intended to be used for expanding production capacity and accelerating new product development, which are critical for maintaining margins in the competitive API market.
Factors for Investors to Monitor
While the partnership and acquisition represent a clear move toward scaling the API business, investors will likely watch how efficiently the company integrates the new manufacturing unit from Actis Generics. The success of this strategy will depend on the speed of capacity expansion and the company's ability to navigate potential challenges such as raw material cost fluctuations and the execution risks common in manufacturing-heavy expansions. Given the capital-intensive nature of this plan, maintaining a healthy balance sheet while funding the proposed ₹700 crore investment program will be an important monitorable. Future updates on the commissioning of new capacities and the integration of the acquired unit will provide a clearer picture of how this new entity impacts the parent company's consolidated financial performance.
