PB Fintech to Acquire Remaining 20% Stake in MyLoancare

PB Fintech has received approval to acquire the remaining 20% stake in MyLoancare Ventures for up to Rs 5 crore. This move will make MyLoancare a wholly owned subsidiary by March 2027. The company also announced fresh capital injections into its PB Wheels and Account Aggregator units to support operations.

PB Fintech Ltd is set to become the sole owner of MyLoancare Ventures Pvt Ltd, a digital lending technology and loan aggregation platform. The company's M&A and Investment Committee has given its in-principle approval to buy out the remaining 20% equity stake in the firm for a cash consideration of up to Rs 5 crore. This acquisition is expected to be completed by March 31, 2027, subject to a final valuation by an independent registered valuer.

MyLoancare, which is registered with the Reserve Bank of India (RBI) as a non-banking financial company, has seen fluctuations in its business size recently. The company reported a turnover of Rs 82 lakh in the financial year ending March 2026, compared to Rs 70 lakh in the previous year and Rs 8.7 crore in FY24. By acquiring full ownership, PB Fintech aims to simplify its group structure and gain complete control over the subsidiary’s operations.

In a broader move to strengthen its ecosystem, PB Fintech’s committee also approved new capital investments in two other business units. It plans to invest up to Rs 10 crore in PB Wheels, which is focused on the automotive finance space, and up to Rs 1 crore in PB Financial Account Aggregator.

These funds are intended to support day-to-day operations and help the units meet specific regulatory requirements. For PB Financial Account Aggregator, for instance, the capital will assist in maintaining necessary net worth levels as prescribed by the RBI.

For investors, the key focus will be on how effectively PB Fintech integrates these business units and manages the deployment of fresh capital. While the acquisition of the remaining stake in MyLoancare is a relatively small transaction for a company of PB Fintech’s size, it reflects the company's ongoing strategy of consolidating its digital lending and financial aggregation footprint. Monitoring the future business performance of these subsidiaries and their contribution to the overall group will be essential for assessing the long-term impact of these investments.
