Digital lender OnEMI Technology Solutions plans to raise Rs 832 crore through a preferential issue of 26.49 million shares to institutional investors. The funds, priced at Rs 314.11 per share, will support the company's lending growth following a strong first quarter. OnEMI Technology Solutions, the parent company of the digital lending platform Kissht, has announced a plan to raise Rs 832 crore through a preferential issue of equity shares. The board of directors has approved the issuance of 26.49 million equity shares at a price of Rs 314.11 per share. This transaction aims to bring a group of 34 investors into the company, including marquee institutional names such as Axis Mutual Fund, HDFC Mutual Fund, and Groww Mutual Fund.

Institutional Participation and Pricing

The list of participants in this fundraising round includes international and domestic institutional investors. Aside from the mutual funds mentioned, the placement involves entities like Citigroup Global Markets Hong Kong, WhiteOak funds, 360 One Equity Opportunity Fund, and the Massachusetts Institute of Technology. Unity Small Finance Bank and Envision India Fund are also among those subscribing to the shares. The issue price of Rs 314.11 represents a discount of approximately 13% to the stock's recent closing price of Rs 360, which marked an all-time high for the company. Such discounts are often observed in institutional preferential placements as part of the negotiated deal structure.

Financial Context and Expansion

This capital injection follows a period of rapid growth for the company, which went public in May 2026. For the quarter ending June 2026, OnEMI Technology Solutions posted an operating revenue of Rs 670 crore, a 45% increase compared to the previous period. The company also reported a 59% rise in net profit, which reached Rs 95 crore. These results were driven by high demand for digital credit, with loan disbursements growing to Rs 3,812 crore and total assets under management reaching Rs 8,001 crore. The fresh funds are intended to bolster the loan book of its subsidiary, Si Creva, supporting the company's strategy to expand its lending business.

Market and Regulatory Risks

While the expansion highlights the company's growth, investors should consider the broader risks associated with the digital lending sector. The business is sensitive to changes in credit quality, which can impact profitability if loan defaults rise. Additionally, the digital lending industry operates under strict regulatory oversight from the Reserve Bank of India (RBI). Any shifts in lending guidelines, interest rate policies, or digital transaction norms could affect operating margins and future growth plans. Furthermore, while the funds will aid expansion, existing shareholders will see their ownership stakes diluted due to the issuance of new shares, which is a standard outcome of equity-based fundraising.

The company will seek formal approval for this transaction from its shareholders during an extraordinary general meeting scheduled for October 14. Moving forward, the key factor for investors to track will be the company’s ability to deploy this capital efficiently while maintaining healthy profit margins and managing the credit risk inherent in a fast-growing loan book.
