Neo Wealth Picks Up 9.6% Stake in Keertana Finserv for ₹230 Cr

Neo Wealth Partners has invested ₹230 crore for a 9.6% stake in Keertana Finserv, a gold loan-focused NBFC. The deal values the company at 2.3 times its net worth of ₹920 crore. This capital infusion supports the lender's goal to expand its loan book, though it faces risks related to high geographic concentration in Andhra Pradesh and Telangana.

Neo Wealth Partners, the investment firm founded by former Edelweiss executive Nitin Jain, has acquired a 9.6% stake in Keertana Finserv. The investment of ₹230 crore provides fresh capital to the gold loan-focused non-banking financial company (NBFC) as it looks to scale its operations.

Deal Structure and Valuation

The transaction was executed through the purchase of 16 million compulsorily convertible preference shares (CCPS). These are financial instruments that act like preferred stock and are set to convert into common equity at a later date. The deal values Keertana Finserv at approximately 2.3 times its net worth of ₹920 crore. This private placement of shares was approved during an extraordinary general meeting of the company's board.

Keertana Finserv, led by industry veteran Padmaja Reddy, operates primarily in the collateral-backed lending space. As of March 2026, the company reported assets under management (AUM) of approximately ₹4,024 crore, with gold loans accounting for 94% of its total portfolio. The company currently maintains a capital adequacy ratio of 23.85%, indicating a solid capital base to support its lending activities.

Growth Ambitions and Risks

The fresh funding is expected to support the company’s aggressive growth roadmap. Keertana Finserv has outlined a goal to increase its AUM to ₹7,000 crore by March 2027. The demand for gold loans remains strong in India, driven by the need for quick, accessible credit for small businesses and individuals.

However, the company’s business model carries specific risks that stakeholders often monitor. A key concern is geographic concentration, as roughly 97% of the company's total business is currently derived from the states of Andhra Pradesh and Telangana. This high dependency on two states makes the lender more vulnerable to any localized regulatory changes or regional economic downturns.

Additionally, as Keertana Finserv accelerates its expansion to reach its ambitious AUM targets, maintaining high standards for asset quality and risk management will be essential. The company will also need to manage potential credit costs as it grows its non-gold loan segments or enters new markets. The next important update for stakeholders will be the company’s progress in achieving its AUM targets and any efforts to diversify its geographic presence outside of its current core region.
