IndusInd Bank has begun the process of reclaiming compensation, including salary and bonuses, from its former CEO Sumant Kathpalia and deputy CEO Arun Khurana. This action stems from an internal review that identified misconduct and misreporting, leading to a substantial financial impact on the bank. The bank's board, after obtaining legal opinion, views the situation as involving accounting misstatements, regulatory sanction, failure of internal controls, and breaches of regulations causing damage to the bank.
This comes after the bank disclosed incorrect accounting on derivative trades, resulting in a $230 million (approximately ₹1,900 crore) hit to its accounts and prompting the exit of Kathpalia and Khurana in May. Both individuals are also facing investigations by the Securities and Exchange Board of India (SEBI) for accusations of insider trading and accounting irregularities. SEBI had previously barred them from securities markets. The clawback could potentially cover compensation paid between December 2023 and March 2025. The bank's publicly available code of conduct considers such acts as misconduct requiring disciplinary action.
Impact: This development could significantly impact investor confidence in the banking sector, highlighting governance risks and the increasing scrutiny on senior management accountability. It also signals a stricter enforcement environment for financial irregularities in India. The actions taken by IndusInd Bank and regulatory bodies demonstrate a commitment to upholding financial integrity.
**Clawback Provisions:** A clause in an employment contract that allows a company to reclaim compensation already paid to an employee if specific conditions, such as misconduct, fraud, or failure to meet performance targets, are met. **Derivative Trades:** Financial contracts whose value is derived from an underlying asset, such as stocks, bonds, commodities, or currencies. They are often complex and can be used for hedging or speculation.
