HDFC Bank is navigating internal investigations regarding a ₹45 crore interest payment and the alleged misselling of bonds. These governance concerns are drawing regulatory attention and could impact the leadership evaluation of MD and CEO Sashidhar Jagdishan.

HDFC Bank is facing increased scrutiny following internal probes into its governance and operational practices. The attention centers on the bank's dealings with the Maharashtra State Road Development Corporation (MSRTC) and concerns regarding the misselling of financial products in international branches. The bank’s board recently handled an investigation by an independent committee regarding a ₹45 crore differential interest payment. This amount was reportedly linked to payments made to vendors for road safety campaigns managed by the bank’s marketing team, raising questions about how such funds were accounted for and disclosed.

Governance Challenges and Regulatory Oversight

Beyond the MSRTC matter, the bank recently dismissed three senior staff members in its Dubai and Bahrain operations. These departures followed allegations that employees missold Credit Suisse AT-1 bonds to non-resident Indian clients. These events come at a time when the broader Indian banking sector is under pressure to maintain deposit growth. As retail investors increasingly move savings into mutual funds and equities, banks are competing intensely for large, bulk deposits from public sector entities, trusts, and corporations. While the Reserve Bank of India (RBI) allows banks to offer different interest rates for bulk deposits, regulations mandate that these rates must be disclosed daily and applied consistently to all eligible depositors. Governance failures or a lack of transparency in these transactions are viewed seriously by regulators.

Impact on Leadership and Accountability

The bank’s board has characterized the issues as business overreach, asserting there was no evidence of dishonest intent. Following the committee's findings, the bank imposed nominal penalties of ₹1 lakh on top executives, including the Managing Director and CEO, the Chief Financial Officer, and the Group Head of Retail Assets. The bank indicated that these measures were intended to address regulatory concerns and close the chapter on these internal lapses.

However, these developments have created complications for the leadership team. The RBI’s guidelines for the appointment and reappointment of bank CEOs emphasize the need for leaders of systemically important banks to meet stringent 'fit and proper' criteria, which include an unblemished integrity track record. The committee’s recommendation of warnings and disciplinary actions against the current management team is expected to be a key factor when evaluating the reappointment of Sashidhar Jagdishan as MD and CEO. Investors and stakeholders will likely monitor future regulatory communications and the bank's internal disciplinary disclosures to understand the long-term impact on its governance framework and leadership stability.
