Adani Power Promoter Shifts 0.65% Stake to Adani Infra in ₹2,627 Cr Deal

Promoter entity Ardour Investment Holding Ltd sold 12.48 crore shares of Adani Power to Adani Infra (India) Ltd for ₹2,627 crore. This internal transfer does not change the aggregate promoter holding in the company. Adani Power shares closed 1.73% lower following the news.

Adani Power Ltd saw a notable volume of shares change hands on the National Stock Exchange (NSE) on Tuesday, August 4, 2026, due to an internal restructuring exercise within its promoter group. Ardour Investment Holding Ltd, a promoter entity, sold 12.48 crore shares, representing a 0.65% stake in the company, to Adani Infra (India) Ltd, another promoter group entity.

The transaction was executed through an open market block deal at an average price of ₹210.50 per share, totaling approximately ₹2,627 crore. Following this movement, Ardour Investment Holding's individual stake in Adani Power decreased from 3.68% to 3.03%. Because the shares were transferred between entities belonging to the same promoter group, the aggregate shareholding of the promoters in Adani Power remains unchanged, and there is no shift in control.

Following the announcement of the deal, shares of Adani Power closed at ₹209.95 on the NSE, marking a decline of 1.73% for the day. Market participants often monitor such internal transfers to understand group-level financial restructuring or consolidation efforts, although these deals are generally viewed as neutral regarding the company’s daily operations.

For investors, internal promoter shuffles do not typically signal a change in the company's business outlook. The core factors influencing Adani Power's valuation remain its operational performance, power generation capacity, fuel procurement costs, and trends in merchant power pricing. While this event marks a shift in equity ownership between promoter entities, it does not alter the promoter group’s commitment to the business.

Investors tracking the stock may look past this internal reorganization and focus on the company's financial health, such as debt management, cash flow generation, and any updates regarding new capacity expansions. The primary monitorable remains the company's ability to maintain stable profit margins in a fluctuating energy market rather than internal ownership alignments.
