Adani Infra Buys 1.03% Stake in Adani Green for ₹2,380 Crore

Adani Infra (India) Ltd has acquired a 1.03% stake in Adani Green Energy Ltd for ₹2,380 crore in a block deal on the NSE. The shares were purchased from another promoter group entity, Ardour Investment Holding Ltd, leaving the total promoter shareholding in the company unchanged. This internal transfer follows a similar transaction between the two entities earlier this June.

Adani Infra (India) Ltd, part of the promoter group of the Adani conglomerate, has increased its equity stake in Adani Green Energy Ltd (AGEL). According to exchange filing data, the entity purchased 1.7 crore shares, which amounts to a 1.03% stake in the renewable energy company. The transaction was executed via a block deal on the National Stock Exchange (NSE) at an average price of ₹1,400 per share, totaling a transaction value of ₹2,380 crore.

The seller in this transaction was Ardour Investment Holding Ltd, another entity belonging to the Adani promoter group. By offloading these shares, Ardour Investment Holding’s stake in the company decreased from 5.04% to 4.01%. Meanwhile, Adani Infra’s stake in the renewable energy firm rose to 2.34% from 1.31%. Because the shares were transferred between entities within the same promoter group, the overall percentage of promoter ownership in Adani Green Energy remains the same.

This move is part of a series of internal realignments within the group's promoter holdings. In June, Adani Infra (India) Ltd had already purchased a 1.31% stake in Adani Green Energy from Ardour Investment Holding Ltd for approximately ₹3,246 crore. These inter-group transfers indicate ongoing internal restructuring of shareholding patterns among promoter-controlled investment vehicles.

Investors often watch these internal transfers to understand changes in the ownership structure of major companies. While such transactions do not change the total promoter control, they reflect adjustments in how different investment vehicles within a group hold their assets. Adani Green Energy shares were trading at ₹1,415.60 on the NSE following the announcement of the deal.

For investors, the key area to monitor is the broader strategic direction of the promoter group and how such internal restructuring impacts the long-term capital allocation within the Adani ecosystem. As Adani Green Energy continues to focus on large-scale renewable projects, the company's financial performance, debt management, and progress on its massive capacity expansion remain the most important factors for shareholders to track. Future updates from the company regarding its operational capacity and project commissioning timelines will be essential for assessing its growth path.
