AI Financial Corp. has sold its subsidiary, ALT5 Sigma Canada, to Prime Delta in a deal involving a $12 million promissory note and stock. This move comes as AI Financial manages a significant stock price decline and a $271.5 million loss reported in the first quarter of 2026. Investors are monitoring the company’s liquidity as it offloads assets amid intense financial pressure.

AI Financial Corp. has completed the sale of its Canadian subsidiary, ALT5 Sigma Canada, to the financial services firm Prime Delta. The transaction is a notable development for the company, which has been navigating a difficult financial period marked by a sharp decline in its share price. As of early August 2026, AI Financial shares were trading near 44 cents, a significant drop from peaks above $9 observed in 2025.

Deal Terms and Payment Structure

The sale agreement includes a total consideration of a $12 million secured promissory note alongside 11.55 million restricted shares of Prime Delta common stock. The payment terms for the promissory note are spread out, which is a key detail for investors assessing the company's future cash flow. An initial payment of $1 million is scheduled for August 11, 2026. The remaining $11 million is structured to be paid through a combination of four equal annual installments of $2.75 million, beginning in August 2027, and 20% of the proceeds from any future equity financings conducted by Prime Delta. This structure means that the full recovery of the $12 million amount remains tied to the future financial performance and fundraising activities of the buyer.

Financial Context and Market Pressure

The divestiture follows a period of financial instability for AI Financial. In the first quarter of 2026, the company reported a net loss of $271.5 million. This loss was largely driven by unrealized declines in the value of its holdings in World Liberty Financial tokens, a crypto venture associated with the Trump family. Because AI Financial's balance sheet is heavily exposed to these volatile crypto assets, its financial health has become sensitive to the market fluctuations of these tokens. With total liabilities exceeding current assets, the company faces liquidity risks that make the monetization of assets like the Canadian unit important for its operational sustainability.

Strategic Shifts and Past Hurdles

This sale to Prime Delta occurred after an earlier attempt to divest the subsidiary failed; fintech firm Perpetuals.com had withdrawn its acquisition interest just weeks prior in July 2026. The relationship between AI Financial, its subsidiary, and Prime Delta has a history that includes legal disputes. In the previous year, ALT5 Sigma had initiated a lawsuit against Prime Delta alleging data misappropriation. While that matter was settled in December 2025 with no admission of wrongdoing, the historical context of the relationship highlights the complex nature of the current deal.
