Zelio E-Mobility Raises ₹168 Crore for EV Capacity Expansion

Zelio E-Mobility has secured ₹168 crore via a preferential share and warrant issue to scale manufacturing and grow its dealer network to 550 by FY27. Investors will watch how the company executes its new Haryana plant expansion amid stiff competition in India's electric vehicle market.

Zelio E-Mobility has received board approval to raise ₹168 crore, signaling a major push to expand its footprint in the competitive Indian electric vehicle market. The company plans to use this capital to accelerate the construction of a new three-wheeler manufacturing plant in Patan, Haryana, and support its goal of reaching 550 dealerships by the end of the 2027 fiscal year.

The fundraise is structured in two parts. The company will issue roughly 9.73 lakh equity shares at ₹853 per share to institutional investors, raising approximately ₹83 crore. Key institutional participants in this round include Motilal Oswal Financial Services, Calliope Capital Advisors, Param Value Investments, and Hem Growth Opportunities Fund. The remaining ₹85 crore will come from the issuance of nearly 9.96 lakh convertible warrants to the company's promoters, Niraj Arya, Deepak Arya, and Kunal Arya. Under this arrangement, the promoters will pay 25% of the amount upfront, with the remaining 75% due upon conversion within 18 months.

The expansion comes as the electric two and three-wheeler market in India sees rapid activity. While the demand for electric mobility is growing, manufacturers face significant challenges, including the need for constant innovation, managing high raw material costs, and intense competition from both established automotive giants and other emerging startups. For Zelio E-Mobility, scaling production at its Haryana facility will be a critical step to ensure it can supply its growing network, which currently spans 400 dealers across 25 states.

Investors looking at this development may focus on the execution timeline of the new plant. Large-scale manufacturing projects often come with the risk of delays or cost increases, which can impact cash flow. Additionally, the warrant structure means that there will be future equity dilution to consider as the promoters convert their options into shares over the next year and a half. The company is set to seek final shareholder approval for this funding plan at an Extraordinary General Meeting scheduled for October 20.

Moving forward, the primary monitorables for the company will be its ability to commission the new facility on time and whether it can effectively gain market share against a crowded field of competitors. Sustaining profit margins while expanding a dealership network requires consistent demand and efficient supply chain management, which will remain the key factors for the company’s long-term business performance.
