Tata Motors Posts Q2 Profit, Nears €3.91 Bn Iveco Deal

Tata Motors reported a consolidated net profit of Rs 1,254 crore for Q2 FY27, reversing a previous year's loss, driven by a 42% rise in commercial vehicle sales. Despite this, profit margins faced pressure from higher raw material costs. Investors are now tracking the final phase of the company's €3.91 billion acquisition of Italy's Iveco Group, which concludes on October 26.

Tata Motors has reported a consolidated net profit of Rs 1,254 crore for the quarter ending September 30, 2026, a significant turnaround from the net loss of Rs 867 crore recorded in the same period last year. The company’s revenue from operations increased by 36% to Rs 25,338 crore, primarily supported by strong demand in the commercial vehicle segment. Sales volumes in this segment rose by 42% to 135,114 units, showing strong performance across both domestic and export markets.

While sales growth was positive, profit margins faced challenges during the quarter. EBITDA margins contracted by 40 basis points to 10.9%. Management attributed this to increased costs of raw materials like steel and rubber, which pressured profitability. To manage these expenses, the company has focused on improving operational efficiency and implementing new pricing strategies.

The company is now in the final stages of acquiring the Italian commercial vehicle manufacturer, Iveco Group. The all-cash deal is valued at approximately €3.91 billion, following an upward revision of the offer price to €14.40 per share earlier this month. With shareholders approving the plan and regulatory clearances in place, the tender offer is currently active. The offer window is scheduled to close on October 26, 2026, with the final settlement expected by October 30.

For investors, the acquisition represents a major change in the company’s use of capital. While Tata Motors currently maintains a net cash position of Rs 15,900 crore, the size of the acquisition—roughly €3.91 billion—is significantly larger than the available cash balance. This implies the company will likely use a mix of existing cash and significant new debt to fund the purchase. Investors may monitor how this affects the company's balance sheet and leverage in the coming quarters. The next key updates to track will be the final deal closure status on October 26 and any management commentary regarding the timeline for integrating the new business into existing operations.
