Mahindra & Mahindra is transferring its Truck and Bus Division to subsidiary SML Mahindra for ₹525 crore. Mahindra & Mahindra Limited (M&M) has announced a significant restructuring of its commercial vehicle business. The company will transfer its Truck and Bus Division (MTBD) to its subsidiary, SML Mahindra Limited, through a slump sale valued at ₹525 crore. A slump sale allows the company to transfer an entire business unit, including all related assets and liabilities, as a single going concern.

Strategic Consolidation of Commercial Vehicles

This move brings together the group's diverse commercial vehicle operations—covering light, intermediate, and heavy trucks, as well as buses above the 3.5-tonne category—under one specialized platform. By consolidating these operations, the company aims to achieve better operational focus, shared technology, and improved market coverage. Following the transfer, M&M will continue to manufacture these vehicles under a contract manufacturing arrangement, ensuring that production remains uninterrupted during the transition.

Financial Context and Impact

The Truck and Bus Division represents a small portion of M&M’s overall operations. In the 2026 fiscal year, the division recorded a revenue of ₹2,989 crore, which accounts for approximately 2.02% of the parent company's total income. The assets involved in this transfer had a book value of about ₹481 crore as of March 31, 2026, representing roughly 0.65% of M&M’s total net worth.

Timeline and Next Steps

The companies plan to sign the official Business Transfer Agreement by August 7, 2026. The final completion of the sale is targeted for January 31, 2027. The successful closing of this deal is contingent upon receiving various regulatory approvals and meeting specific contractual conditions.
