The deal aims to strengthen Motherson’s aerospace and defense business, specifically in specialized electrical wiring systems. Investors should watch if this diversification helps reduce the company's heavy reliance on the automotive sector and how the integration impacts overall business margins.

Samvardhana Motherson International Ltd has entered into a definitive agreement to acquire a 50.1% stake in Rotary Connectors Private Ltd. The enterprise value of the transaction is pegged at ₹500.4 crore. Through this deal, executed via its subsidiary Samvardhana Motherson Adsys Tech, the automotive components giant is looking to deepen its presence in the aerospace and defense sector. Rotary Connectors will become an indirect subsidiary of the group, while the current promoters will retain the remaining 49.9% equity.

Expanding Beyond Automotive

Motherson has historically relied heavily on the automotive industry. By acquiring Rotary Connectors, which specializes in military-grade circular connectors and interconnection solutions, the company is attempting to pivot toward sectors that demand high reliability and often offer long-term contracts. Rotary Connectors, based in Bengaluru, operates three manufacturing facilities. Its expertise in Electrical Wiring Interconnect Systems (EWIS) is highly relevant for aerospace and defense, where electrical components must be durable enough to survive extreme environments and comply with stringent safety standards.

Valuation and Strategic Context

With an enterprise value of ₹500.4 crore against a reported FY26 turnover of ₹123.5 crore, the deal values the target company at approximately four times its top line. While revenue is a starting point for valuation, investors should be aware that revenue alone does not tell the full story. Profitability, current debt levels, cash flow generation, and the cost of capital remain critical factors that were not disclosed in the official announcement. Retaining the existing promoters in the business is a structural positive, as it helps preserve operational knowledge and technical expertise while Motherson leverages its global customer network to scale the business.

Risks and Monitorables

Motherson’s strategy of frequent, targeted acquisitions has been a hallmark of its growth, but it also brings execution risks. Investors should consider that integrating specialized defense operations into a large, diversified conglomerate can be complex.
