Aastha Spintex Raises Authorised Capital to ₹100 Crore

Aastha Spintex Ltd has increased its authorised share capital from ₹45 crore to ₹100 crore, expanding the permitted equity base from 4.5 crore to 10 crore shares of ₹10 each. The change creates additional capacity for future corporate actions, but the company has not announced a specific fundraising plan alongside this update. Utsav Himanshu Trivedi was also appointed as a Non-Executive Independent Director for five years from September 16, 2026.

Aastha Spintex Raises Authorised Capital to ₹100 Crore

Authorised share capital has increased to ₹100 crore from ₹45 crore.

Paid-up equity share capital stood at ₹31.64 crore as of March 31, 2026.

Reader Takeaway: Higher capital headroom improves flexibility, but investors should not assume a new share issue is imminent.

What just happened

Aastha Spintex Ltd has amended Clause V of its Memorandum of Association to expand its authorised equity capital substantially.

The earlier authorised capital of ₹45 crore was divided into 4.5 crore equity shares with a face value of ₹10 each. The revised ceiling is ₹100 crore, represented by 10 crore equity shares of ₹10 each.

The ₹55 crore increase gives the company considerably more room between its existing paid-up capital and the maximum equity capital it is authorised to issue.

Why this matters

Authorised capital determines the maximum share capital a company can issue within its existing corporate framework. Raising that ceiling creates capacity for future equity-related transactions without itself issuing new shares.

For shareholders, that distinction matters. The increase does not by itself dilute existing holdings, nor does this update confirm a rights issue, preferential placement or another fundraising transaction.

The company had issued, subscribed and paid-up equity capital of ₹31.64 crore as of March 31, 2026, leaving substantial headroom under the revised ₹100 crore authorised limit.

Governance update

Aastha Spintex has also confirmed Utsav Himanshu Trivedi as a Non-Executive Independent Director for a five-year term effective September 16, 2026. He had previously served as an Additional Director.

Trivedi is a law graduate and Company Secretary by profession and is currently serving as Company Secretary at Kody Technolab Limited.

What changes now

The immediate change is structural rather than financial. Aastha Spintex now has authority for a significantly larger equity base, but shareholders will need a separate corporate announcement before treating this as an actual fundraising or share-issuance event.

Any future issuance could affect the number of outstanding shares, ownership percentages and per-share financial metrics depending on its structure.

What to track next

Investors should watch subsequent exchange disclosures for any concrete proposal using the expanded authorised capital. The key details would include the type of corporate action, number of securities, pricing, record date or entitlement terms where applicable, intended use of funds and resulting post-transaction share capital.
