Vedic Ayurveda AGM Set for Oct 30; Auditor Raises Tax Compliance Concerns

Vedic Ayurveda has scheduled its 45th AGM for October 30, 2026, to discuss leadership changes and a proposed Rs 100 crore borrowing limit. However, the company faces significant auditor scrutiny regarding missing loan confirmations and outstanding Income Tax returns since 2021-22. Investors should remain cautious as trading in the company’s shares remains suspended since mid-2023.

Vedic Ayurveda AGM: Governance Changes Amid Auditor Red Flags

  • AGM Date: October 30, 2026
  • Financial Status: Zero Revenue, Rs 2.10 Lakh Loss (FY26)

Reader Takeaway: Management seeks higher borrowing limits despite persistent tax filing gaps and ongoing share trading suspension.

What just happened

Vedic Ayurveda Limited has notified shareholders of its 45th Annual General Meeting, where it plans to formalize the appointment of Ms. Deepika Awasthi as Managing Director and regularize Mr. Atul Chauhan as an Independent Director. The company is also seeking shareholder approval to increase its borrowing and investment capacity up to Rs 100 crore.

Auditor Qualifications and Concerns

The statutory auditor, M/s GAV & Associates, has issued a qualified opinion regarding the FY 2025-26 financials. The auditor noted that the company failed to provide confirmation of closing balances for various loans and advances. Furthermore, the company has not filed Income Tax Returns (ITR) under Section 139 of the Income Tax Act since the 2021-22 assessment year, potentially exposing the firm to financial penalties.

Trading and Regulatory Status

Vedic Ayurveda's equity shares have been suspended from trading since June 12, 2023, due to listing compliance issues. Although the Securities Appellate Tribunal (SAT) set aside a previous compulsory delisting order in March 2026, the company is still awaiting approval for the revocation of its trading suspension. An application for this purpose was filed on April 6, 2026.

Financial Snapshot

The company reported zero revenue from operations for the second consecutive year. Net losses stood at Rs 2.10 lakh for FY 2025-26, compared to a loss of Rs 4.30 lakh in the previous fiscal year.

Risks to watch

Investors should be wary of the lack of operational activity and the regulatory hurdles caused by non-filing of tax returns. The inability to verify loan balances remains a material concern for corporate governance transparency.
