What just happened

Pakka Limited’s Fund Raising Committee has officially approved the allotment of 38,80,000 fully paid-up equity shares. This follows the exercise of conversion rights by Yash Agro Products Limited, a member of the company's promoter group. The issue price was set at ₹110 per share, comprising a face value of ₹10 and a premium of ₹100.

Why this matters

The transaction results in a total capital inflow of ₹42.68 crore. The company had previously received 25% of this amount as an upfront payment, with the final 75% balance settled on 16 October 2026. This exercise is part of a broader capital raising plan approved by shareholders during the Extraordinary General Meeting held on 5 May 2026.

Equity Capital and Shareholding

Following this allotment, the company’s paid-up equity share capital has increased from ₹47.67 crore to ₹51.55 crore. Consequently, the total number of outstanding equity shares now stands at 5,15,48,100. The promoter group’s stake has risen to 43.84%, compared to 39.27% prior to this conversion.

Warrant Status

The company had 77,00,000 warrants outstanding before this tranche. With 38,80,000 warrants now converted, 38,20,000 units remain. These remaining warrants are valid until 9 December 2027 and remain subject to the original terms of issuance, which may lead to further equity dilution if and when they are converted in the future.
