Aris International Announces 1:2 Equity Share Split

Face Value Change: Rs 10 to Rs 5 | Authorized Loan/Investment Limit: Rs 50 Crore

Reader Takeaway: The share split aims to boost liquidity, while new loan limits facilitate broader financial flexibility for investments.

What just happened

Aris International Ltd has formally announced a sub-division of its equity shares. The Board of Directors approved splitting existing shares with a face value of Rs 10 into shares with a face value of Rs 5. Consequently, the total number of equity shares will double from 15,00,000 to 30,00,000, while the total paid-up capital remains unchanged at Rs 1.5 crore. This proposal requires approval from shareholders via a postal ballot.

Why this matters

A share split is a common corporate action used to make shares more affordable for retail investors, often resulting in higher trading volumes and improved market liquidity. By lowering the entry price per share, the company aims to broaden its shareholder base.

Financial Authorizations

Beyond the share split, the Board has sought shareholder approval to increase financial headroom. The company intends to obtain authorization under Sections 185 and 186 of the Companies Act, 2013, to grant loans, make investments, and provide guarantees. This authorization is capped at an aggregate amount of Rs 50 crore.

What happens next

The company will now proceed with issuing a formal Postal Ballot Notice to its members. The share split and the financial authorization limits will only take effect following the successful completion of the voting process and receipt of all necessary regulatory clearances.
