Aadhar Housing Finance Boosts Capital with ESOP Share Allotment
Aadhar Housing Finance Limited announced on March 20, 2026, that it has allotted 8,67,247 equity shares. This issuance follows the exercise of stock options by eligible employees under the company's Employee Stock Option Plan 2020.
The allotment has increased the company's paid-up equity share capital to ₹4,35,70,37,100, or ₹435.70 crore. Each share has a face value of ₹10. Following this, the total number of outstanding equity shares has risen to 43,57,03,710. These newly issued shares rank equally with existing equity shares, meaning they carry the same rights and privileges.
This move aligns with Aadhar Housing Finance's strategy to reward and retain employees by linking their interests to the company's growth. For existing shareholders, the issuance results in a minor dilution of their ownership percentage. Such allotments are a standard practice for publicly listed companies looking to motivate their workforce.
Aadhar Housing Finance is a key player in India's affordable housing segment, focusing on the low-income and low-to-middle-income segments. The company specializes in small ticket mortgage loans, often below ₹15 lakh, distinguishing its business model. As of December 2023, it served over 10,926 pin codes across 20 states and union territories through its 487 branches.
The company, which conducted its Initial Public Offering (IPO) in May 2024, has a history of making ESOP allotments. While ESOPs are routine, continuous issuance can incrementally dilute existing shareholders' stakes. Aadhar Housing Finance also faced a ₹5 lakh penalty from the Reserve Bank of India in September 2024 for charging interest prior to loan disbursement, underscoring the need for strict adherence to fair practices. In the competitive housing finance sector, Aadhar Housing Finance differentiates itself from peers like HDFC Ltd and LIC Housing Finance through its niche focus, competing with companies such as India Shelter Finance Corporation and Aavas Financiers in similar segments.
