Time Technoplast Ltd (TTL) has agreed to acquire a 76% stake in Systoverse Private Limited (SPL), a Maharashtra-based manufacturer of ISI-certified HDPE pipes and sprinkler systems. This deal aims to strengthen TTL's existing HDPE pipe business and drive inorganic growth. The transaction, which is pending due diligence, is expected to be completed within 60 days.
Systoverse Private Limited manufactures HDPE pipes and sprinkler systems, with an annual capacity of 3,600 metric tons. This acquisition marks TTL's strategic entry into the Maharashtra region, a key industrial and agricultural hub, enhancing its market penetration in the pipes sector. By integrating Systoverse's operations, TTL expects to improve operational efficiency and discover new growth opportunities in the infrastructure and water management sectors.
Acquisitions have been a consistent part of Time Technoplast's strategy to accelerate growth and gain market share. The company has steadily expanded its infrastructure business by focusing on increasing manufacturing capacity and broadening its product range.
The acquisition will provide several key benefits:
- TTL gains a direct operational base in Maharashtra.
- The purchase immediately adds to TTL's manufacturing capacity.
- TTL will leverage Systoverse's existing approvals, including BIS and MJP, along with beneficial tax rates, including a 15% corporate tax, and state incentives.
- The deal extends TTL's geographic reach, enabling it to serve a wider customer base.
However, the deal is contingent on successful due diligence covering finances, legal matters, taxes, and regulations. Any issues found during this process could lead to the deal's cancellation.
Time Technoplast competes in a busy market. Major rivals in the plastic pipes sector include Astral Limited, Prince Pipes and Fittings Ltd, and Supreme Industries Ltd, all recognized for their broad product ranges and market presence.
Regarding financial performance, Time Technoplast's PE Pipe Business reported ₹280 crore in revenue for the nine months ending FY26, an increase from ₹265 crore in the prior year's comparable period. Systoverse Private Limited's turnover reached ₹26.88 crore in FY24, up from ₹22.39 crore in FY23.
Investors will be watching the due diligence process and its findings. The planned 60-day timeline for closing the acquisition is a key indicator. Future developments will include details on how Systoverse will be integrated into TTL's operations and how TTL plans to utilize the combined strengths for growth and improved efficiency.
