Kamdhenu Ltd Tightens Grip on Ventures Unit via Warrant Conversion

Kamdhenu Limited has significantly increased its ownership in its subsidiary, Kamdhenu Ventures Limited, now holding 52.54% of the voting rights. This boost follows the conversion of 1,46,45,000 warrants into equity shares. The transaction, completed on March 30, 2026, and reported on March 31, 2026, brings Kamdhenu Limited's total shareholding in Kamdhenu Ventures to 17,28,54,800 shares. As a result, the parent company now controls 52.54% of the voting rights and 50.24% of the diluted capital. The total voting capital has increased to Rs 32.90 crore from Rs 31.44 crore.

Kamdhenu Ventures, originally part of Kamdhenu Limited, was demerged in March 2023 to focus specifically on the paints business. Kamdhenu Limited had previously approved issuing these warrants to its promoter group at Rs 35 per share, aiming to strengthen promoter stake and fuel growth. The current stake consolidation solidifies the parent's majority control, enabling more streamlined decision-making and strategic alignment for the paints subsidiary. This action also fulfills disclosure requirements under SEBI SAST (Substantial Acquisition of Shares and Takeovers) Regulations.
