Ganesh Benzoplast Announces INR 1,154 Crore LST Business Divestment

Total consideration: INR 1,154 crore; Shareholder payout allocation: INR 200 crore.

Reader Takeaway: Divestment unlocks capital for high-growth chemical and EPC pivots, though execution risks on new capacity remain.

What just happened

Ganesh Benzoplast Limited has entered into an agreement to divest its liquid storage tank (LST) business at JNPA, Goa, and Cochin, along with its JNPA-linked rail business. The total consideration is fixed at INR 1,154 crore. The transaction is pending regulatory and port authority approvals. Management expects to receive INR 500 crore before January 2027, followed by INR 300 crore before March 2027, with the final balance arriving over the subsequent 12 to 18 months.

Why this matters

The company is signaling a major strategic pivot from its traditional LST business to its high-growth chemical manufacturing and EPC divisions. Out of the initial INR 500 crore receipt, the board has earmarked approximately INR 200 crore for shareholder rewards via a special dividend and share buyback, in which promoters will not participate. An additional INR 100 crore is designated for chemical business expansion, while INR 190–200 crore will address tax liabilities and bank debt.

Strategic Pivot

The chemical division is doubling capacity at one plant with completion expected by July 2027, aiming for a PAT of INR 60–70 crore within five years. Simultaneously, the EPC division has secured a significant INR 300 crore order from KKR, bringing its total order book to INR 500 crore. Management targets a PAT of INR 150 crore for the EPC segment over the next 4–5 years.

Risks to watch

  • Execution risk remains a primary concern, as the strategy relies heavily on commissioning new chemical capacity by mid-2027.
  • The receipt of proceeds is subject to regulatory and port-level approvals, which may influence the projected timeline.
  • EPC business revenue is inherently cyclical, and chemical margins remain sensitive to raw material price volatility.
