GPT Infraprojects Calls Meetings to Approve Merger with Alcon and Jogbani

GPT Infraprojects has scheduled meetings for shareholders and creditors on November 13, 2026, to approve the amalgamation of Alcon Builders and Jogbani Highway into the company. The process follows an NCLT directive and requires mandatory approval thresholds to move forward.

GPT Infraprojects Merger Meetings Scheduled for November 2026

GPT Infraprojects Limited will hold meetings for its equity shareholders and creditors on November 13, 2026, to vote on the merger of Alcon Builders and Engineers and Jogbani Highway into the company.

Reader Takeaway: Shareholders vote on a strategic consolidation move that requires a 75% value threshold for NCLT approval.

What just happened

Following an order from the NCLT Kolkata Bench dated September 15, 2026, GPT Infraprojects has initiated the formal approval process for its proposed scheme of amalgamation. The plan involves absorbing two entities—Alcon Builders and Engineers Private Limited and Jogbani Highway Private Limited—with an effective date of April 1, 2026. The company has set a cut-off date of November 6, 2026, to determine eligibility for voting and attendance.

Meeting Details

Shareholders will participate in the meeting virtually via Video Conference (VC) or Other Audio-Visual Means (OAVM), while creditor meetings are slated for physical attendance at the GPT Centre in Kolkata. The company has appointed Ms. Arundhati Barman Roy as the scrutinizer and Mrs. Kinjal Doshi as the Chairperson for these proceedings.

Voting and Approval Process

Equity shareholders have the option to cast their votes through remote e-voting, which begins on November 10, 2026, and ends on November 12, 2026, or via e-voting during the meeting on November 13. The scheme requires approval from a majority in number representing three-fourths in value of the equity share capital. The final results will be announced within 15 days post-meeting.

Risks to watch

The primary hurdle remains the legal requirement to secure the specified majority vote from shareholders and creditors. Furthermore, even if approved by the stakeholders, the merger remains subject to final confirmation and sanction by the NCLT before it can be fully implemented.
