Concord Control Systems Limited (CCSL) has finalized the amalgamation of its wholly-owned subsidiary, Advanced Rail Controls Private Limited (ARC), into the parent company. The scheme officially became effective on May 09, 2026, following approvals from the National Company Law Tribunal (NCLT) on April 15, 2026, and subsequent filing with the Registrar of Companies on May 09, 2026. The appointed date for this integration was April 01, 2025.
ARC, before its dissolution, contributed ₹51.20 Crores in turnover and ₹16.44 Crores in net worth.
The primary goal of this integration is to simplify Concord Control Systems' corporate structure and streamline operations. By combining ARC into the parent entity, CCSL expects to reduce administrative overhead and enhance governance and operational efficiency, presenting a clearer organizational framework to stakeholders.
Importantly, no cash consideration was paid and no new shares were issued as part of this amalgamation. This means the move does not involve immediate cash outflow or shareholder dilution. The financial results of ARC are now fully integrated into CCSL's standalone and consolidated statements.
