Vishal Fabrics Reports Audited FY26 Financials

Vishal Fabrics Limited announced its audited financial results for the fiscal year ended March 31, 2026. The company reported a standalone profit after tax (PAT) of ₹3,217.76 lakh (₹32.18 crore) on revenue from operations of ₹1,60,210.98 lakh (₹1,602.11 crore).

Consolidated figures showed a PAT of ₹2,901.04 lakh (₹29.01 crore) on consolidated revenue of ₹1,51,983.40 lakh (₹1,519.83 crore).

Governance and Compliance Strengthened

The company's Board of Directors also approved the reappointment of the cost auditor and internal auditor. Additionally, Mr. Susanta Kumar Panda was reappointed as an independent director for a second term from June 1, 2026, to May 31, 2031. Vishal Fabrics also adopted a code for the fair disclosure of unpublished price-sensitive information (UPSI), enhancing its compliance with SEBI regulations and bolstering investor confidence.

Looking Ahead Amidst Uncertainty

While the audited results confirm FY26 performance, the company is assessing the financial implications of new consolidated labor codes, effective November 25, 2025. The full impact is not yet determinable, and no adjustments have been made to the FY26 results. This ongoing evaluation represents a key risk that could affect future employee benefit costs and overall profitability.

Investors will be tracking the announcement of the Annual General Meeting (AGM) date and the outcomes of shareholder approvals for director reappointments. Further updates on the assessment of the new labor codes' financial impact will also be important to monitor.
