Aurobindo Pharma Subsidiaries Auroactive and Apitoria to Merge Operations

Aurobindo Pharma has received board approval to merge its wholly owned subsidiary, Auroactive Pharma, into another subsidiary, Apitoria Pharma. The move aims to consolidate the group's API business and streamline operations. As both entities are wholly owned by the parent company, there is no impact on the shareholding pattern or the listing status of Aurobindo Pharma Ltd.

Aurobindo Pharma Announces API Subsidiary Merger

Auroactive Pharma turnover stood at INR 701.3 million, while Apitoria Pharma recorded INR 64,430.8 million for FY 2026.

Reader Takeaway: Streamlined API operations improve efficiency, though the merger has no direct impact on parent company shareholders.

What just happened

Aurobindo Pharma Ltd has secured board approval to initiate a Scheme of Amalgamation with the National Company Law Tribunal (NCLT) in Hyderabad. This scheme proposes the merger of Auroactive Pharma Private Limited into Apitoria Pharma Private Limited. Both companies are wholly owned subsidiaries primarily focused on the Active Pharmaceutical Ingredients (API) segment.

Why this matters

The consolidation is designed to simplify the corporate structure of the Aurobindo group. By merging these entities, the management intends to optimize operational efficiency and improve capacity utilization across its manufacturing facilities. This restructuring is intended to create a more cohesive API business unit under Apitoria Pharma.

Transaction Details

The merger includes a share exchange ratio where 97 equity shares of Apitoria Pharma will be issued for every 10,000 equity shares of Auroactive Pharma. This will result in the issuance of 2,395,900 equity shares of Apitoria Pharma. The valuation for this transaction was conducted at arm's length by an independent party.

Impact on Shareholders

The listed parent company, Aurobindo Pharma Ltd, remains unaffected by this internal restructuring. Because the entities involved are both wholly owned subsidiaries, there will be no change to the shareholding pattern of the parent entity, and no new shares are being issued to the public.
