Mefcom Capital Markets Completes Subsidiary Sale

Transaction value: Rs 2.58 crore | Equity shares transferred: 29,99,800

Reader Takeaway: Divestment streamlines the corporate structure; minimal impact on consolidated financials expected given the small subsidiary contribution.

What just happened

Mefcom Capital Markets Ltd has finalized the sale of its entire shareholding in its subsidiary, Mefcom Securities Limited. The deal involved the transfer of 29,99,800 equity shares to the company’s Managing Director and Promoter, Mr. Vijay Mehta. The transaction was completed on 17th September 2026, following an agreement signed on 27th August 2026.

Why this matters

The transaction consolidates the parent company's focus while exiting a subsidiary that accounted for a minor portion of its financial health. As of the March 2026 audit, Mefcom Securities contributed approximately 4.51% of the parent company's turnover and 3.31% of its net worth. This move reduces the complexity of the consolidated group structure.

Transactional Compliance

Because the buyer is a promoter and Managing Director, the transaction is classified as a related-party deal. To ensure regulatory compliance and transparency, Mefcom Capital Markets engaged its statutory auditors, M/s Satya Prakash Garg & Co., to conduct a valuation. The firm confirmed the deal was executed at an arm's length price of Rs 8.58 per share based on the valuation report dated 13th August 2026.
