What just happened

Uravi Defence and Technology Limited's annual report showed a softer consolidated financial performance for the year ended March 31, 2026. Profit before tax fell to ₹86.22 lakh from ₹255.42 lakh, while consolidated PAT declined by about 16% year-on-year.

The company's group structure also changed during the year. Uravi completed the sale of its entire 50.01% stake in SKL India (Private) Limited on March 5, 2026, while its consolidated accounts now include its share of profit from associate Spafax International Holding Limited.

Why this matters

The key issue for shareholders is not only the decline in earnings but also the quality of consolidated reporting around the new associate investment.

The statutory auditor issued a qualified opinion because Uravi recognised ₹72.05 lakh as its share of profit and ₹0.84 lakh of other comprehensive income from Spafax using unaudited management accounts. Audited financial statements for the associate were unavailable, and management could not determine whether any adjustment would ultimately be required.

That creates uncertainty around a meaningful component of reported consolidated earnings until audited Spafax numbers become available.

What changes now

The exit from SKL India and the investment in Spafax have altered the composition of Uravi's consolidated business. Future comparisons will therefore depend not only on the performance of the core operations but also on the contribution and reporting quality of the associate.

The company has not recommended a dividend for FY 2025-26, choosing instead to conserve resources.

Uravi will also seek shareholder approval at its September 30, 2026 AGM for the regular appointment of M/s Viren Gandhi & Co. as statutory auditor for a five-year term after the firm was appointed to fill a casual vacancy.

Risks to watch

The immediate reporting risk is whether audited financial statements from Spafax materially differ from the unaudited management accounts already used in Uravi's consolidated results.

Investors should also watch whether the decline in income and profit continues after the portfolio restructuring. The shift away from SKL and toward Spafax means future earnings quality will increasingly depend on the economics and transparency of the new associate relationship.
